Priority Technology Holdings has agreed to acquire IntelliPay, forming Priority Commerce Government to serve the public sector.
According to the official press release, the transaction establishes a new division, Priority Commerce Government, which extends the company's enterprise payments business into the public sector. IntelliPay's platform allows government agencies, educational institutions, and healthcare organisations to accept and manage payments securely.
Revenue contribution and deal structure
According to Priority Commerce, the Priority Commerce Government is expected to contribute just over USD four million in incremental revenue to the company for the remainder of 2026. The acquisition is structured as a membership interest purchase agreement.
IntelliPay has served state and local municipalities with payment acceptance and billing capabilities tailored to their needs. Priority Commerce has described the acquisition as part of a strategy to acquire partners already operating within its ecosystem in order to build out specific verticals.
Tom Priore, CEO of Priority Commerce, said the acquisition supports the company's strategy of acquiring partners within its ecosystem to build out key verticals, and that Priority Commerce and IntelliPay share an approach to streamlining financial operations in the public sector.
Casey Leloux, CEO of IntelliPay, said the company would continue to serve public sector clients while extending its solutions to a broader customer base through Priority Commerce, maintaining the reliability and integration capabilities expected by its clients.
Public sector expansion
The formation of Priority Commerce Government marks Priority Commerce's entry into a payments vertical distinct from its existing commercial offerings, bringing together enterprise payments infrastructure with IntelliPay's public sector-focused platform. The new division is intended to serve government agencies, educational institutions, and healthcare organisations with payment acceptance and treasury-related solutions.
