Transaction Systems Architects CEO to Retire by June 2006

Gregory D. Derkacht, Transaction Systems Architects president and chief executive officer, plans to retire from the Company not later than June 30, 2006.

The Company also announced today that it has entered into a revised employment agreement with Mr. Derkacht providing for his continued service while his successor is sought and for an appropriate transition period. The Companys Board of Directors is commencing a search for an experienced leader with a proven record of performance to succeed Mr. Derkacht. The revised employment agreement allows sufficient time to select a successor and provide for a smooth transition.
