Ingenico Make Changes to the Board of Directors

In a Board of Director meeting on February 10, Ingenico made appointments to the borarf of direectors to form a stronger, more international board of directors.

Chaired by Yves Sabouret, the Ingenico Board of Directors moved on February 10, 2005 to make the following appointments: - Philippe Lazare, Director and permanent representative of the company Tayninh. He is a Member of the Executive Committee of La Poste Group, Director of the Performances des Fonctions Transverses (Horizontal Functions Performance) Project, Director of Purchasing, Cost Control and Property for La Poste Group and Chairman and CEO of Poste Immo. Aged 49. A trained architect, he started his career at PSA, then moved on to various management positions in the Thalès Group, before taking over as Deputy Chief Executive of Air France, assisting Chairman and CEO Christian Blanc. He joined up with La Poste in 2003. - David Znaty, Non-Executive Director. He is currently Chairman and CEO of Publicis Technology as well as Expert for computer software, hardware and networks. Aged 59. A graduate of MIT (Massachusetts Institute of Technology), he teaches at the Ecole Centrale des Arts et Manufactures and at the Panthéon-Assas University (Paris II). He also chairs the MIT Club—the MIT alumni association in France. - Amedeo d’Angelo, Censeur (Independent Advisor). He is currently Chairman of Aspects Software in Edinburgh and of YoungGeneration in Milan. Aged 50. A graduate of the University of Milan, he was formerly Samsung Semiconductors’ Director for Europe, and subsequently Chairman of Gemplus International from 1991 to 1994, before founding and directing Incard in 1995. In 1997, he took over as CEO of the Cards Division at De La Rue, a company bought out in 1999 by Oberthur Card Sytems. In 2000, he was appointed Chief Operating Officer of Oberthur Card Systems. - Barry Thomson, Censeur (Independent Advisor). He is currently Chairman of Ingenico Corp. in the United States. Aged 63. An engineering graduate of the University of Toronto, trained as a chartered accountant, he has held various management positions, including the position of Chairman and CEO of IVI Checkmate Corp., bought out by Ingenico in 2001. The Board of Directors will be convening on March 2 to approve the financial statements for the year 2004.
