David Znaty new Chairman of Ingenico

As a result of some disagreements among the Directors of the Board over the past few months, which became irreversible during the Board of Directors’ meeting held on April 18, 2005, Mr Yves Sabouret, Chairman of the Board, and three other Directors decided to resign from their respective functions of Chairman and Directors.

The Company has therefore asked Euronext to suspend the trading of the shares pending the publication of a press release. During this same Board meeting, Mr. Gérard Compain was renewed in his functions of Chief Executive Officer of the Company. Mr. Yves Sabouret had been director of the Company since November 13, 2002, and had been appointed chairman of the Board on April 30, 2004. During the Ordinary and Extraordinary shareholders’ Meeting held today, Mr Gérard Compain, Chief Executive Officer, has warmly thanked M. Yves Sabouret for the work he has achieved in the exercise of his functions in Ingenico, during a transitional period which has been difficult. Over the past twelve months, Ingenico has substantially improved its turnover, its operating income and its net income. The Ordinary General Meeting appointed the following Directors, in accordance with the resolutions proposed by the Board of the Directors : - Mr. David Znaty ; - Mr. Jacques Stern ; - Mr. Guy Wyser-Pratte. Furthermore, the General Meeting decided to appoint the following two new Directors among the shareholders who applied during the meeting: - Mr. Jean-Jacques Poutrel, Founder ; - Mr. Amedeo D’Angelo, who was until now independent advisor on the Board of Directors. All the other resolutions proposed by the Board of directors, both at the Ordinary and Extraordinary General Meeting, have been approved by a large majority. At the end of this meeting, the Board of Directors has met and has unanimously appointed Mr. David Znaty Chairman of the Board of Directors. The new Chairman is 59 years old, and is also Chief Executive Officer of Publicis Technolgy, as well as an expert in digital technologies. Additionally, Mr Georges Cohen, founder of Transiciel, has been co-opted as Director. The ratification of his appointment will be proposed at the next Ordinary General Meeting. The Company has asked Euronext to resume the trading of Ingenico shares as of Wednesday April 20 in the morning, after the publication of the present press release.
