Basware and Trustpair's shareholders have signed a binding agreement under which Basware will acquire the payment fraud prevention company. The companies describe the combination as linking invoice approval with payment validation, so that an organisation can confirm both that an invoice is legitimate and that the resulting payment reaches the intended supplier.
The announcement cites an estimate that organisations globally lose 8% of revenue each year to fraud, with generative artificial intelligence lowering the cost of impersonating trusted suppliers at scale. According to the Association of Certified Fraud Examiners, 75% of anti-fraud professionals reported an increase in generative AI-driven document fraud and forgery over the past two years, while only 7% said their organisations are more than moderately prepared to detect or prevent such fraud. The companies also point to regulatory change as a driver: in 2026, Nacha, which oversees US bank-to-bank payments, tightened its rules so that businesses paying suppliers via ACH must have processes in place to catch unauthorised payments, including those resulting from business email compromise. Similar pressure is described as building among regulators in the UK and the EU.
Integration and product scope
Trustpair validates that a supplier's bank account is genuine at onboarding, when account details change, and before a payment is authorised. It works across ERP, procurement and treasury systems, including SAP, Oracle, Coupa, Zycus, Ivalua, Jaggaer, and Kyriba. Following completion, Trustpair will continue to operate and go to market independently as a Basware company, with existing customers retaining their current providers and systems. Basware states that Trustpair's fraud prevention capabilities will be added to its own Invoice Lifecycle Management platform, alongside invoice fraud and duplicate-detection features already built into that product. The company frames the combined offering as covering the transaction from invoice approval through to payment.
The deal builds on Basware's 2023–2025 acquisitions of Glantus, AP Matching and Redmap, and follows the company's stated intention to broaden its Invoice Lifecycle Management scope. Accel-KKR, a technology-focused investment firm, backs Basware. Trustpair's existing investors, including Axeleo Capital, Breega and Tikehau Capital, are set to continue supporting the company after the transaction closes. Trustpair also gains access to data spanning 2.5 billion invoices and 20 million suppliers processed on Basware's platform, which the companies say will be used to strengthen Trustpair's validation models.
Kevin Permenter, Research Director at IDC, said the combination brings together complementary capabilities addressing what he described as a gap in finance, spanning supplier onboarding through to payment, and called uniting the two datasets a step towards a more contextual and proactive risk assurance layer.
The transaction is expected to complete later in 2026, subject to customary closing conditions. Financial terms of the acquisition were not disclosed.
